Purpose:

The Provincial Health Authority Board of Trustees is responsible for:

i) the delivery and administration of health and community services in the province, as well as

ii) providing assistance and support to individuals, communities, other health service providers and policy makers at federal, provincial and regional levels to enhance the health and well-being of persons in the province through the planning and delivery of health and community services

Structure:

The composition of the Provincial Health Authority Board of Trustees shall reflect the cultural, ethnic, and regional diversity of the province.

The Provincial Health Authority (PHA) board shall consist of:

• at least eight trustees, but, no more than 18 trustees on the board
• The Lieutenant-Governor in Council shall appoint a chairperson of the board from the trustees

Competency Profile:

Those who make up this Board should collectively possess the following core competencies:

• Demonstrated commitment to excellence and quality assurance
• Strong communication, leadership and change management skills
• Strong critical thinking and strategic planning skills
• Knowledge and understanding of fiscal and financial matters
• Understanding of provincial health care needs and issues
• Awareness of provincial health care trends
• Commitment to a provincial health care system that incorporates equity, diversity, and inclusion best practices
• Expertise in legal affairs, privacy, private sector business and/or engineering/project management
• Diverse skills and experiences in human resources, governance, information technology and research
• Understanding of philanthropy
• Understanding of risk management
• Understanding of social determinants and population health

Qualifications:

Ideally, people who serve on the PHA Board are committed to their communities and their regions. These positions are best suited to individuals with a history of leadership and the knowledge and experience to properly support the significant decisions that must be made to sustain the health system into the future.

The following attributes are important considerations in selecting members:

• Knowledge of health care system
• Commitment to their community and region
• Knowledge of health analytics
• Provincial mandate perspective
• Previous board experience
• High ethical standards and integrity
• Corporate Governance
• Appreciation of the responsibilities and accountability for the expenditure of public funds
• Engineering/construction and/or property management experience
• Specialized independent medical/clinical experience
• Excellence in service delivery to a variety of different stakeholders in a complex environment
• Flexible, responsive and willing to consider others’ opinions
• Capable of a wide perspective on issues
• Ability to listen and work as a team member
• No direct or indirect conflict of interest
• Strong reasoning and conflict resolution skills
• Strategic planning experience
• Effective communication skills (written and oral)
• Policy development experience
• Leadership/management skills


Employees and medical staff of the PHA shall not be eligible to sit as trustees of the board.

Time Commitments:

A trustee should be available to meet at the annual meeting at the time and place set out in the by-laws. Trustees should also be available to meet face-to-face at least six times per year, plus additional meetings and teleconferences as required. Board members may also be expected to spend additional time to review materials and prepare for board meetings.

Term:

A trustee shall be appointed for a term of three years and may be reappointed for one further term of three years.

A trustee whose term of office has expired continues to be a trustee until reappointed or replaced.
