Remuneration

Purpose:

The association shall be governed by a board of directors and the board may exercise the powers of the association in the name and on behalf of the association.

Structure:

The board shall consist of 12 members elected from and by members of the association in accordance with the by-laws where at least 2 of those members are licensed as public accountants, and at least 2 of those members are not licensed as public accountants; and 4 persons appointed by the minister who are not members of the association or persons currently or formerly certified, licensed or registered as accountants in the province or another jurisdiction who are suitable to represent the public interest. Where the term of a person appointed expires, he or she continues to be a member of the board until re-appointed or replaced.

Competency Profile:

Diversity in the backgrounds, skills and experience of appointed Board members can enhance the effectiveness of a Board. Examples of such backgrounds may include:

  • Strategic Management and Organizational Change;
  • Legal Expertise;
  • Public Relations;
  • Public Sector Administration;
  • Governance;
  • Human Resources;
  • Experience with Self-Regulating Organizations;
  • Previous Board Experience;
  • Analytical Skills;
  • Executive Experience;
  • Financial Expertise/Literacy; and,
  • Decision Making Skills.

Qualifications:

  • High ethical standards and integrity;
  • Appreciation of the responsibilities to the public;
  • Flexible, responsive and willing to consider others’ opinions;
  • Capable of a wide perspective on issues;
  • Ability to listen and work as a team member;
  • No direct or indirect conflict of interest; and,
  • Strong reasoning skills.

Time Commitments:

The Board holds approximately ten meetings each year for two hour durations. There are also committees of the Board on which public members are asked to sit. It is expected that a Board member would volunteer for approximately forty hours in total per year.

Term:

A person appointed by the minister holds office for a term of up to 3 years and is eligible to be re-appointed. Where a person appointed to the board by the minister holds office for a period of 9 consecutive years the person is not eligible for appointment as a member of the board until the expiration of 12 months from the end of the year in which he or she was last a member of the board. Where the term of a person appointed by the minister expires, he or she continues to be a member of the board until re-appointed or replaced but time served by the member under this subsection shall not be counted for the purpose of the 9 year consecutive year limitation.

Additional Information:

Under subsection 5(5) of the Chartered Professional Accountants and Public Accountants Act, the association remunerates the expenses of a person in accordance with guidelines established by the Lieutenant-Governor in Council.
